1. Acceptance of Terms

By accessing and using ChopHub ("the Service"), you accept and agree to be bound by these Terms of Service. ChopHub is a cloud-based, AI-powered video editing and publishing platform. If you do not agree to these terms, please do not use the Service.

2. Description of Service

ChopHub is a cloud-based video editing platform hosted on Amazon Web Services (AWS) that allows users to:

• Upload and edit video content using AI-powered tools
• Automatically generate short-form video clips optimized for social media
• Publish content directly to multiple social media platforms (YouTube, Instagram, TikTok, Facebook, X/Twitter)
• Manage content across multiple platforms from a single dashboard

The Service is delivered via our cloud platform at https://chophub.io.

3. Account Registration and User Responsibilities

You are responsible for:

• Creating your ChopHub account securely via AWS Cognito authentication
• Maintaining the confidentiality of your login credentials and account information
• All content you upload and publish through the Service
• Ensuring your content complies with all platform-specific guidelines and community standards
• Respecting intellectual property rights and copyright laws in all jurisdictions
• Not using the Service for any illegal, fraudulent, or unauthorized purpose
• Not violating any laws applicable in your jurisdiction
• Not attempting to access or test the Service's security vulnerabilities

4. Intellectual Property and Content Ownership

Your Content: You retain all intellectual property rights to the original content you create and upload. ChopHub does not claim ownership of your content.

Platform IP: ChopHub and all its features, including the AI-powered editing tools, processing engine, and user interface, are owned by ChopHub and protected by copyright and other intellectual property laws.

Third-Party Platforms: By publishing content to third-party platforms (YouTube, Instagram, TikTok, Facebook, X), you grant those platforms the rights specified in their respective terms of service.

Restrictions: You may not reproduce, distribute, or transmit any part of the ChopHub platform without our written permission.

5. Platform Integration and Third-Party Services

The Service integrates with third-party platforms and services (YouTube, Instagram, TikTok, Facebook, X, and OpenAI). Your use of these integrations is:

• Subject to the respective platform's terms of service and privacy policies
• Your responsibility to maintain compliance with each platform's policies
• Revocable at any time by disconnecting the platform in your account settings

We are not responsible for the actions, policies, or outages of third-party platforms. You acknowledge that:

• We cannot guarantee uninterrupted access to third-party platform APIs
• Third-party platforms may change their terms, policies, or access restrictions
• You are solely responsible for compliance with each platform's terms

6. Acceptable Use Policy

You agree not to use the Service to:

• Upload, create, or distribute illegal content, including content that violates copyright laws
• Publish content that is harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Infringe on any intellectual property rights (copyright, trademark, patent, trade secret)
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with, disrupt, or attack the Service, its servers, or infrastructure
• Attempt to gain unauthorized access to any part of the Service or its systems
• Engage in spam, harassment, bullying, or coordinated inauthentic behavior
• Circumvent security measures or access controls
• Reverse engineer, decompile, or attempt to derive the source code of the Service
• Use the Service in any manner that could damage, disable, or impair our systems

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

7. Billing and Payment Terms

ChopHub offers the following subscription plans:

• Free Plan: Limited features, free access to core editing tools
• Starter Plan: Enhanced video processing, multi-platform publishing
• Pro Plan: Advanced AI features, unlimited processing, priority support
• Team Plan: Multi-user accounts, team collaboration, advanced analytics

Payment Processing: All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method.

Billing Cycle: Subscription charges are recurring on a monthly or annual basis as selected at signup. Charges continue until you cancel your subscription.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for partial months or years.

Price Changes: We reserve the right to change subscription pricing with 30 days' notice. Price increases apply only to new billing cycles.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" and "as available" without warranties of any kind
• We disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability is limited to the amount you paid for the Service in the past 12 months
• We are not responsible for data loss, service interruptions, or third-party platform actions

9. Termination

We reserve the right to:

• Suspend or terminate your account immediately if you violate these Terms
• Terminate the Service or your access with or without cause and with or without notice
• Delete your data following termination in accordance with our Privacy Policy

Upon termination, your right to use the Service ceases immediately. Outstanding payment obligations remain due.

10. Modifications to Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue any feature or the entire Service at any time
• Update these Terms at any time. We will notify you of material changes via email and in-app notification
• Change pricing with 30 days' notice

Continued use of the Service after changes constitutes your acceptance of the updated Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. Any legal action or proceeding shall be exclusively brought in the state or federal courts located in the United States.
