Terms of Service

1. Acceptance of Terms

By accessing and using ChopHub ("the Service"), you accept and agree to be bound by these Terms of Service. ChopHub is a cloud-based, AI-powered video editing and publishing platform. If you do not agree to these terms, please do not use the Service.

2. Description of Service

ChopHub is a cloud-based video editing platform hosted on Amazon Web Services (AWS) that allows users to:

• Upload and edit video content using AI-powered tools
• Automatically generate short-form video clips optimized for social media
• Publish content directly to multiple social media platforms (YouTube, Instagram, TikTok, Facebook, X/Twitter, LinkedIn)
• Manage content across multiple platforms from a single dashboard

The Service is delivered via our cloud platform at https://app.chophub.io.

3. Account Registration and User Responsibilities

You are responsible for:

• Creating your ChopHub account securely via AWS Cognito authentication
• Maintaining the confidentiality of your login credentials and account information
• All content you upload and publish through the Service
• Ensuring your content complies with all platform-specific guidelines and community standards
• Respecting intellectual property rights and copyright laws in all jurisdictions
• Not using the Service for any illegal, fraudulent, or unauthorized purpose
• Not violating any laws applicable in your jurisdiction
• Not attempting to access or test the Service's security vulnerabilities

4. Intellectual Property and Content Ownership

Your Content: You retain all intellectual property rights to the original content you create and upload. ChopHub does not claim ownership of your content.

Platform IP: ChopHub and all its features, including the AI-powered editing tools, processing engine, and user interface, are owned by ChopHub and protected by copyright and other intellectual property laws.

Third-Party Platforms: By publishing content to third-party platforms (YouTube, Instagram, TikTok, Facebook, X, LinkedIn), you grant those platforms the rights specified in their respective terms of service.

Restrictions: You may not reproduce, distribute, or transmit any part of the ChopHub platform without our written permission.

5. Platform Integration and Third-Party Services

The Service integrates with third-party platforms and services (YouTube, Instagram, TikTok, Facebook, X, LinkedIn, and OpenAI). Your use of these integrations is:

• Subject to the respective platform's terms of service and privacy policies
• Your responsibility to maintain compliance with each platform's policies
• Revocable at any time by disconnecting the platform in your account settings

We are not responsible for the actions, policies, or outages of third-party platforms. You acknowledge that:

• We cannot guarantee uninterrupted access to third-party platform APIs
• Third-party platforms may change their terms, policies, or access restrictions
• You are solely responsible for compliance with each platform's terms

6. Acceptable Use Policy

You agree not to use the Service to:

• Upload, create, or distribute illegal content, including content that violates copyright laws
• Publish content that is harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Infringe on any intellectual property rights (copyright, trademark, patent, trade secret)
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with, disrupt, or attack the Service, its servers, or infrastructure
• Attempt to gain unauthorized access to any part of the Service or its systems
• Engage in spam, harassment, bullying, or coordinated inauthentic behavior
• Circumvent security measures or access controls
• Reverse engineer, decompile, or attempt to derive the source code of the Service
• Use the Service in any manner that could damage, disable, or impair our systems

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

7. Billing and Payment Terms

ChopHub offers the following subscription plans:

• Free Plan: A one-time starter allowance of processing credits that is not refilled, publishing to YouTube, TikTok and Instagram; content carries a ChopHub watermark
• Creator Plan: Increased monthly processing allowance, publishing to all six supported platforms, AI-generated titles
• Pro Plan: Unlimited jobs, AI-generated titles and thumbnails, virality analysis, custom overlays, data export, API access
• Team Plan: Multiple user seats, additional concurrent jobs, everything in the Pro Plan
• Content Engine Plan: Highest monthly processing allowance, additional seats, no video length limit

Current prices, processing allowances and plan limits are shown on our pricing page. Prices are in US dollars and exclude any applicable taxes.

7.1 Payment Processing

All payments are processed securely by Stripe. By providing a payment method you authorize us, through Stripe, to charge it for the plan and billing period you select, for any credit packs you buy, and for applicable taxes.

7.2 Automatic Renewal

Paid subscriptions are billed in advance and renew automatically at the end of each billing period (monthly or yearly, as you select) at the then-current price for your plan, until you cancel. For yearly plans, we will email you a reminder before each renewal.

7.3 Free Trial

• When you first upgrade from the Free plan to a paid plan, you may receive a 14-day free trial. Trials are limited to one per account and one per payment customer; we may decline or end a trial we reasonably believe is being used to obtain repeated free access.
• A valid payment method is required to start a trial. Unless you cancel before the trial ends, your subscription converts automatically and your payment method is charged the price of the plan and billing period you selected on the day the trial ends.
• You can cancel at any time during the trial from your account's billing page and you will not be charged.
• During the trial you receive 150 credits (150 minutes of processing) whichever plan you choose, including if you change plans during the trial. Your plan's full monthly allowance begins with your first paid period. Trial credits do not roll over.

7.4 Credits

• Processing is measured in credits: one credit equals one minute of source video submitted for processing.
• Monthly credits are granted at the start of each monthly period on paid plans. Free plan credits are granted once, when you sign up, and are not refilled. Yearly plans are billed once per year and receive their credits in monthly instalments, not all at once.
• Rollover: on paid plans, monthly credits left unused at the end of a period carry over into the next period only, up to one month's allowance, and then expire. Credits do not roll over on the Free plan or on promotional grants.
• On paid plans, when all of your credits are used, slow mode lets you process up to 60 minutes of source video per monthly period at no credit cost, one job at a time, until your next period begins. This mode is provided on a best-effort basis without guaranteed turnaround times. The Free plan has no slow mode.
• Credits have no cash value, are not transferable between accounts, and cannot be exchanged or redeemed for money except as required by law or as stated in our Refund Policy.

7.5 Credit Packs

• Credit packs are one-time purchases of additional credits, available to accounts on a paid plan.
• Pack credits are used only after your monthly and rolled-over credits are exhausted.
• Pack credits expire 12 months after your most recent pack purchase. Buying another pack extends the expiry of your entire pack balance. Pack credits purchased before September 30, 2026 do not expire.
• If you cancel or downgrade your subscription, unexpired pack credits remain usable until they expire. Pack credits are forfeited if your account is deleted or terminated for violating these Terms, and are revoked if the payment for them is reversed or disputed.
• Refunds of credit packs are governed by our Refund Policy.

7.6 Plan Changes

Upgrades, including switching from monthly to yearly billing, take effect immediately and the prorated difference is charged at that time. Downgrades take effect immediately and any unused portion of your previous plan is credited against your next invoice. After a plan change, your monthly credit balance is adjusted to the new plan's allowance less the monthly credits you have already used in the current period.

7.7 Cancellation

You may cancel at any time from your account's billing page or by contacting support@chophub.io. Cancellation stops future renewals and takes effect at the end of your current billing period; you keep access to your plan, and yearly plans keep receiving their monthly credits, until then. Your account then moves to the Free plan.

7.8 Refunds

Except as set out in our Refund Policy or as required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused credits.

7.9 Failed Payments

If a renewal payment fails, Stripe may retry the charge. Your account may be marked past due, and if payment is not completed your subscription may be cancelled and your account moved to the Free plan.

7.10 Price Changes

We may change subscription or credit pack prices. For existing subscriptions, we will give you at least 30 days' notice by email before a price increase takes effect; the new price applies from your next billing period after the notice period, and you may cancel before then to avoid it.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" and "as available" without warranties of any kind
• We disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability is limited to the amount you paid for the Service in the past 12 months
• We are not responsible for data loss, service interruptions, or third-party platform actions

9. Termination

We reserve the right to:

• Suspend or terminate your account immediately if you violate these Terms
• Terminate the Service or your access with or without cause and with or without notice
• Delete your data following termination in accordance with our Privacy Policy

Upon termination, your right to use the Service ceases immediately. Outstanding payment obligations remain due.

10. Modifications to Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue any feature or the entire Service at any time
• Update these Terms at any time. We will notify you of material changes via email and in-app notification
• Change pricing with 30 days' notice

Continued use of the Service after changes constitutes your acceptance of the updated Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding shall be exclusively brought in the state or federal courts located in the State of Mississippi.
